Participant Agreement

Red Team Thinking® Classes (Non-Coach Participants)

1. Confidentiality

Participant agrees to maintain the confidentiality of all proprietary information and materials disclosed or provided in connection with any Red Team Thinking® class or training session, including but not limited to written, oral, and digital content, videos, templates, frameworks, recordings, discussions, and supporting documents (collectively, “Confidential Information”).

Participant shall not disclose, copy, share, or make any use of Confidential Information, except as expressly permitted by TruThinking Corp. in writing. This obligation shall survive termination or completion of participation in the class.

2. Intellectual Property

All content, tools, materials, recordings, and related resources (collectively, “Materials”) are proprietary to TruThinking Corp. and protected under United States and international copyright, trademark, and intellectual property laws.

Participant is granted a limited, non-transferable, non-sublicensable, revocable license to use the Materials solely for their own personal use. Participant shall not:

- Reproduce, distribute, or share any Materials without express written permission;
- Use the Materials in any teaching, training, or consulting context;
- Post or distribute Materials on any website, social media, or digital platform;
- Adapt, translate, or incorporate Materials into any public or internal-facing content.

All rights not expressly granted herein are reserved by TruThinking Corp.

3. Recordings and Use of Likeness

Participant agrees not to record any session of any Red Team Thinking® class or event without prior written authorization.

By participating, Participant acknowledges that classes may be recorded and grants TruThinking Corp. the irrevocable right to record, use, and distribute their voice, image, and contributions for internal training, quality assurance, and course delivery purposes. TruThinking Corp. will seek separate written permission for any public or commercial use of Participant’s name or likeness outside of the original course context.

4. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any disputes arising from or related to this Agreement shall be resolved exclusively in the state or federal courts located in San Mateo County, California, and the parties hereby submit to the personal jurisdiction of such courts.

Acknowledgment

By participating in any Red Team Thinking® class, Participant acknowledges that they have read, understood, and agreed to the terms and conditions contained in this Agreement.
